USCarrier Telecom acquires Lightwave LLC

9 January 2004 Lightwave -- USCarrier Telecom LLC, an Atlanta-based wholesale carrier, has acquired Lightwave LLC, an Alabama-based fiber-optic network company. After receipt of the approval of the asset purchase for the acquisition from the Alabama Public Service Commission, the deal was closed on December 30, 2003.

9 January 2004 Lightwave -- USCarrier Telecom LLC, an Atlanta-based wholesale carrier, has acquired Lightwave LLC, an Alabama-based fiber-optic network company. After receipt of the approval of the asset purchase for the acquisition from the Alabama Public Service Commission, the deal was closed on December 30, 2003.

With this transaction, USCarrier will acquire more than 5,000 additional fiber miles; SONET, DWDM multiplexing equipment; and dark fiber. USCarrier is also purchasing additional points of presence from Mobile to Montgomery; Montgomery to Panama City; Panama City to Mobile; and Montgomery to Columbus, GA. This will add to USCarrier's current Southeast footprint, making the total 11,800 fiber miles throughout Georgia, Alabama, and Florida.

"By acquiring the assets of Lightwave, USCarrier will be able to fully integrate the Alabama/Florida fiber-optic network into USCarrier's Georgia network. Additionally, this transaction supports our continuing dedication to network improvements for our customers. We have made significant investments in that network in anticipation of the acquisition," said Michael S. Layer, president and CEO of USCarrier Telecom.

The acquisition of Lightwave is anticipated to accelerate USCarrier's strategy for growth in 2004. The company has been operating the Lightwave network facilities and equipment under a management agreement since May 2000. USCarrier's Macon Network Operations Center will be responsible for monitoring and maintaining the network.
