4/5/00 Advanced Fibre Communications Inc. (AFC-Petaluma, CA) has announced a definitive agreement to acquire GVN Technologies Inc. (Largo, FL). GVN is a developer of integrated access device (IAD) equipment for the service provider market.

4/5/00 Advanced Fibre Communications Inc. (AFC--Petaluma, CA) has announced a definitive agreement to acquire GVN Technologies Inc. (Largo, FL). GVN is a developer of integrated access device (IAD) equipment for the service provider market.

The acquisition will expand AFC's product portfolio to include IADs, enabling AFC to supply end-to-end access solutions for the converged voice and data network in the small- and mid-sized business services market.

Under the terms of the merger agreement, approximately 1.1 million shares and options to purchase AFC common stock will be exchanged for all outstanding shares and options of GVN. This acquisition will be accounted for as a pooling of interests and is expected to close in the second quarter of AFC's fiscal year 2000.
