February 18, 2003--NEC Eluminant Technologies today announced that it has been acquired by Zhone Technologies. With the acquisition of NEC Eluminant, Zhone expands its access technology portfolio.

Products included in the acquisition include the ISC-303 digital loop carrier, the VISTA Access SONET ADM, the RC-28D and RC-28E M13 multiplexers and the FD-6 multiplexer. A subsidiary of NEC USA, NEC Eluminant was established in 1998 to provide last mile access products to service providers in the United States.

"We are pleased that Zhone has chosen to include NEC Eluminant in its family of telecommunications infrastructure products for the access network," says David Montanaro, chairman and chief executive officer of NEC Eluminant. "With this transaction, our customers benefit not only from Zhone's reputable service and continuing support of the traditional Eluminant products, but also from the availability of a more comprehensive product portfolio addressing a broad range of access solution requirements." Takenaka & Company LLC represented NEC as its financial advisor in this transaction.

Zhone's strategy combines existing solutions with internally developed intellectual property to create a portfolio of scalable next-generation network products supporting voice, data, video, and entertainment services. The company was founded by the senior management team that grew telecommunications pioneer Ascend Communications from its startup roots to the multi-billion-dollar company acquired by Lucent Technologies in September 1999. Zhone's advanced networking solutions include the Single Line Multi-Service architecture, FlexBand Multi-service port, Zhone Management System, Broadband Access Node, Multi-Access Line Concentrator (MALC, AccessNode and Universal Edge 9000 products (purchased from Nortel Networks), Sechtor universal voice gateway, the Z-Edge access products and Multi-Access Line
