Bookham Technology PLC acquires Measurement Microsystems A-Z Inc.

Bookham Technology plc (Nasdaq: BKHM; LSE: BHM) announced that it has acquired privately held Measurement Microsystems A-Z Inc. Based in Quebec, Canada, Measurement Microsystems develops innovative algorithms and Digital Signal Processing (DSP) solutions, which enable optimized signal extraction using DWDM optical components.

Bookham Technology plc (Nasdaq: BKHM; LSE: BHM) announced that it has acquired privately held Measurement Microsystems A-Z Inc. Based in Quebec, Canada, Measurement Microsystems develops innovative algorithms and Digital Signal Processing (DSP) solutions, which enable optimized signal extraction using DWDM optical components. This technology will enable the production of lower cost and smaller optical devices.

Bookham Technology, an integrated optical component design and manufacturing company, will combine Measurement Microsystems' DSP algorithms for optical signal extraction with its own advanced DWDM technology. The union of these two technology platforms will enable Bookham Technology to achieve enhanced product functionality and optimization through intelligent opto-electronic integration.

Under the terms of the agreement, Bookham Technology will acquire all of the outstanding ordinary shares of Measurement Microsystems, a closely held Canadian company. The total acquisition consideration will be no more than $47.5 million, of which $10 million will be paid in cash and the remainder by the issue of new Ordinary Shares in Bookham Technology, depending on the satisfactory completion of specific technical and business-based milestones.
