RSoft Inc. and Network Design Tools, Inc. (NDTI) have agreed to merge, creating a company that combines RSoft's suite of physical-layer design tools with network-layer planning and optimization tools from NDTI, a Telcordia Technologies spin-out. The new company will supply researchers, manufacturers, systems integrators, and service providers with POMS (performance, optimization, modeling, and simulation) software that addresses design challenges from the component to the network level.
"The combination of NDTI and RSoft expands the breadth and depth of product offerings and addressable market opportunities for both companies," says LuAnn Scarmozzino, president of RSoft. "The resulting product suite will offer integrated, end-to-end design solutions for those companies seeking to develop innovative optical communications products and networks in the telecommunications arena."
Gail Lalk, NDTI's president, has been named the acting CEO of the combined company and will retain her position as the president of the network-layer products division. LuAnn Scarmozzino will continue as president of the physical-layer products division, and Dr. Robert Scarmozzino, currently CTO of RSoft, will serve as CTO for the combined entity.
The new entity will operate as a privately held company, with continued investment support from Pequot Capital Private Equity. Financial terms were not disclosed. The merged company, to be named at a later date, will continue to develop its physical layer simulation solutions in Ossining, NY under the RSoft brand, and its network products in Eatontown, NJ, under the NDTI brand.
